Breaches may result in immediate revocation of your license and potential liability for legal violations. We may report breaches to relevant authorities, including disclosing your identity, as required by law.

Suspension and Termination

Allinspin may, but is not obligated to, investigate suspected unlawful or improper activity related to User Content. If you have a dispute with another user, you release Allinspin (and our officers, directors, agents, and affiliates) from any claims, demands, or damages arising from such disputes.

Disclaimers and Liability

Disclaimer of Warranties

The Service provided by Allinspin, including our website, content, and any demos of our software, is offered on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or those arising from course of dealing or usage of trade. Allinspin does not warrant that:

• The Service will be uninterrupted, error-free, or free from defects.
• Any defects will be corrected.

Limitation of Liability

As the Service is provided free of charge for informational and evaluation purposes (browsing, requesting demos, making inquiries), your sole remedy for any dispute with Allinspin is to cease using the Service. In cases where you have paid Allinspin, our total liability shall not exceed the amount you paid to Allinspin in the six months immediately preceding the date of your claim.

Some jurisdictions may not allow the exclusion of certain warranties or the limitation of certain damages. To the extent that applicable law restricts such disclaimers or limitations, the scope of Allinspin’s warranties and liability shall be the minimum permitted under such law. Nothing in these Terms affects statutory rights that cannot be excluded or liability for death, personal injury, or fraud caused by Allinspin’s negligence.

Indemnification

Severability

If any provision of these Terms of Use or the Allinspin Privacy Policy is found to be illegal or unenforceable by a court of competent jurisdiction, that provision shall be ineffective only to the extent of such invalidity or unenforceability in that jurisdiction, without affecting the validity or enforceability of the remaining provisions or the same provision in other jurisdictions. All other provisions shall remain in full force and effect.

Termination

We may terminate or suspend your access to the Service at any time, with or without cause or notice, including for violations of these Terms, suspected illegal activity, or to protect our rights or those of third parties. Upon termination, your license to use the Service ends immediately, and you must cease all access.

Governing Law and Dispute Resolution

These Terms of Use, the Privacy Policy, and any disputes arising out of or related to them or the Service shall be governed by the laws of the Republic of Lithuania, without regard to conflict of law principles. If a dispute arises between you and Allinspin, we encourage you to first contact us directly via the details in the Contact Us section to seek a resolution. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Vilnius, Lithuania, and you agree to submit to their personal jurisdiction.

Changes to These Terms

The Service provided by Allinspin, including our website, content, and demo materials for our software, is subject to ongoing updates to enhance functionality, security, or compliance. We may modify these Terms of Use at any time to reflect changes to the Service, legal requirements, or our business needs. Force Majeure

General Provisions

Assignment

They supersede all prior understandings, whether electronic, oral, or written, or established by custom, practice, or precedent, related to the Service.

No Waiver

Allinspin’s failure to enforce any provision of these Terms of Use or the Privacy Policy, or to exercise any right, shall not constitute a waiver of that provision or right in that or any other instance. Any express waiver by Allinspin of a provision or requirement does not waive future obligations to comply with it, unless explicitly stated in writing, signed by you and an authorized Allinspin representative.

Equitable Remedies

You acknowledge that the rights and obligations under these Terms are unique and irreplaceable, and a breach may irreparably harm Allinspin, entitling us to seek injunctive or other equitable relief without posting a bond or proving damages. You waive any right to seek injunctive or equitable relief to restrain the operation of the Service, its content, or related materials, limiting your claims to monetary damages as outlined in the Disclaimers and Liability section.
